Nagy v. Riblet Products Corporation, 79 F.3d 572 (7th Cir. 1996) -- Nagy worked as CEO and was a minority shareholder of Riblet Products. His employment contract provided for retirement benefits, however when he was terminated for engaging in a series of self-dealing transactions, the corporation eliminated the benefits. The Seventh Circuit held that ERISA does not govern in cases involving private employment contracts where the beneficiary is not a participant in a employee benefit plan. The contract, it held, did not establish a "plan" under ERISA.
