Central States, Southeast and Southwest Areas Pension Fund v. Art Pape Transfer, Inc., 79 F.3d 651 (7th Cir. 1996) -- Multi employer pension fund, seeking to collect withdrawal liability brought suit against company which was successor-in-interest to parent corporation (Dixiana of Georgia) of employer (Ringle Express) at time of employer's withdrawal from fund. Finding that the pension fund settled and released Ringle and all related corporations from liability, including Dixiana of Georgia. Art Pape Transfer Inc., who acquired Dixiana of Iowa (alter-ego of Dixiana of Georgia), was the successor-in-interest. The pension fund sought liability from Art Pape, however the court found that if Art Pape was in the control group, then it was subject to the release as a related corporation. If, however, Art Pape was not in the control group, then it was not subject to liability under ERISA. Either way, Art Pape was not responsible for withdrawal liability.
